Welcome to Classwise AI! These Terms of Service ("Terms") create a legal agreement between you ("User," "you," "your") and Classwise AI, Inc. ("Classwise AI," "we," "us," or "our").
These Terms govern your use of our AI-powered grading and feedback services, our website (classwise.ai), and any related software or applications (collectively, the "Services").
BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE SERVICES, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
Classwise AI provides a software-as-a-service platform for educators. The Services are designed to assist you by generating feedback, analysis, and grading suggestions ("Outputs") based on materials you submit ("Inputs").
Your relationship with us and your use of the Services are governed by these Terms, our Website Privacy Policy, and (if applicable) our Data Processing Agreement (DPA).
These Terms apply differently depending on how you use the Services:
"School User": You are a "School User" if you are an employee or authorized agent (e.g., teacher, administrator) of a legally recognized educational institution (a "School") that has a separate, executed Data Processing Agreement (DPA) with Classwise AI. Your use is on behalf of that School.
"Individual User": You are an "Individual User" if you are using the Services in your personal, individual capacity and not under the authority of a School that has an executed DPA with us.

This section applies only if you are an "Individual User."
Strict Prohibition on PII: You represent and warrant that you are using the Services for your own individual, professional purposes. You are STRICTLY PROHIBITED from uploading, submitting, or processing any "Inputs" that contain "Personally Identifiable Information" (PII) of any person, especially students.
Definition of PII: PII includes, but is not limited to, student names, ID numbers, email addresses, personal essays, or any other information that could be used to identify an individual student, as defined under FERPA or other applicable privacy laws.
Your Responsibility to Anonymize: You must de-identify and anonymize all materials before uploading them to the Services (e.g., by removing all names and identifiers).
No DPA: You acknowledge that you are not covered by a DPA and that Classwise AI is not acting as a "School Official" for you.
Indemnification: You agree to fully indemnify and hold Classwise AI harmless from any claims, damages, or losses (including legal fees) that result from your breach of this section, particularly any breach related to uploading PII.
This section applies only if you are a "School User."
DPA Governs: You acknowledge that your School has an executed Data Processing Agreement (DPA) with Classwise AI. That DPA—not Section 4 of these Terms—governs the processing of all "Student Data" (as defined in the DPA). In the event of any conflict between these Terms and the DPA regarding Student Data, the DPA will control.
Your Authority: You represent and warrant that you are an employee or authorized agent of the School and have the full legal authority to use the Services on the School's behalf, in accordance with the DPA.
FERPA Compliance: You agree that you are providing Student Data to us only in your capacity as a "School Official" with a "legitimate educational interest," as specified in the DPA.
Account Creation: You agree to provide accurate and complete information when you create your account (e.g., First Name, Last Name, School Email, School Name, Role, etc.).
Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.
Third-Party Login: If you log in using Google, Microsoft, or another third-party service, you authorize us to access and use your information from that service as described in our Privacy Policy.
Fees: Certain features of the Services may require payment. You agree to pay all applicable fees as described on our pricing page or in a separate order form (if applicable).
Billing: We use a third-party payment processor (e.g., Stripe) to bill you. The processing of your payment is subject to the terms and conditions of that processor.
Subscriptions: Subscriptions will automatically renew at the end of each billing cycle unless you cancel.
Cancellation: You may cancel your subscription at any time. Your cancellation will take effect at the end of the current billing period.
Taxes: All fees are exclusive of applicable taxes.
You agree not to use the Services to:
The Services may allow you to connect with third-party applications, such as your School's Learning Management System (LMS) (e.g., Google Classroom). Your use of any third-party service is governed by their terms and privacy policies. Classwise AI is not responsible for the data, content, or practices of any third-party service.
Our Services: We own all right, title, and interest in and to the Services, our platform, and any underlying technology.
Data Ownership (School Users): For School Users, the School retains all ownership rights to the Student Data (Inputs and Outputs), as specified in the DPA.
Data Ownership (Individual Users): For Individual Users, you retain all ownership rights to the anonymized "Inputs" you provide. You grant us a license to use these Inputs only to generate the "Outputs" for you.
Your Feedback: If you provide us with Feedback (e.g., in-app feedback), you grant us a worldwide, perpetual, royalty-free license to use and incorporate that Feedback.
Termination by You: You may stop using the Services and terminate your account at any time.
Termination by Us: We may suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms (especially Section 4).
Effect of Termination: Our obligations to delete your data are governed by the DPA (for School Users) and our Privacy Policy (for Individual Users).
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
AI Is a Tool: You acknowledge that the AI-generated "Outputs" may contain errors, omissions, or inaccuracies.
Your Responsibility to Review: You are solely responsible for reviewing all "Outputs" for accuracy and appropriateness before use. You are the final authority, and the AI is an assistant, not a replacement for your professional judgment.
TO THE FULLEST EXTENT PERMITTED BY LAW, CLASSWISE AI, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF YOUR USE OF THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY TO YOU IS LIMITED TO THE GREATER OF (A) $100 USD OR (B) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
These Terms shall be governed by the laws of the State of Washington. Any dispute shall be resolved in the state or federal courts located in King County, Washington.
Updates to Terms: We may modify these Terms. If we make material changes, we will notify you by email or through the Services. Your continued use after a change constitutes your acceptance.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
Entire Agreement: These Terms, our Privacy Policy, and (if applicable) the DPA constitute the entire agreement between you and Classwise AI.
